Contract document errors are at the top of the list of construction dispute causes in North America for three years running, per the 2025 Arcadis report. The same report shows the average dispute value reached $60.1 million in 2024 and ranks contract and specification reviews as the number one dispute avoidance technique. I've seen why that matters.

General contractors managing multiple active subcontracts across projects generate a steady stream of review decisions and risk checks. That volume is exactly where structured automation earns its keep.

This article maps the full subcontract review chain, shows where manual review breaks down across a live portfolio, and walks through the three core review functions AI agents automate in that environment (e.g., clause extraction, playbook-based risk flagging, and cross-document comparison).

Who Touches the Contract and What's at Stake

Contract risk does not sit in one place. It moves across the full subcontract stack.

The Contract Chain

The AIA document family governs many of these relationships. The owner-contractor agreement establishes the commercial terms covering price, time, and scope, while the A201 spans 15 Articles covering indemnification, changes, payment, insurance, termination, and dispute resolution.

The A401 agreement establishes the contractor-subcontractor relationship and incorporates A201 by reference, binding subcontractors to prime contract terms they may never have directly reviewed. Specifications carry terms and standards that require independent review against the prime contract. They may also incorporate outside standards by reference, adding further terms that require reconciliation.

The Review Burden

I see the review burden show up in the gaps between those documents. Deviations from A201 language are substantive departures from what project participants expect. Owner-drafted modifications, custom riders, and missing flow-down provisions each represent a discrete risk event requiring identification.

The clauses most frequently tied to construction disputes deal with work scope, changes, and project control. The 2018 AGC/FMI study found that 92% of contractors reported design documents had become less complete than in the past, which adds another layer of review work when missing details, undefined scope items, and unresolved design assumptions surface against the subcontract terms.

Every one of these gaps lands on the same project team, and the review burden grows with each subcontract package added to the portfolio.

A clause titled "Assumption of Risk and Liability" may function similarly to broad-form indemnification.

Senior reviewers are more likely to catch that, though they are not always reviewing every subcontract.
