Datagrid AI Terms

Effective Date: July 1, 2026

These Datagrid AI Terms (“AI Terms”) apply to the generative artificial intelligence features, products, or standalone offerings as identified in the Subscription Services or Documentation (collectively, “AI Services”). These AI Terms supplement Customer’s existing agreement with Datagrid (“Agreement”). In the event of any conflict or inconsistency between the AI Terms and the Agreement, the AI Terms shall control with respect to the AI Services. Capitalized terms not defined in these AI Terms have the meanings given to them in the Agreement.

1. Input and Output

1.1. General. Customer and its Authorized Users may submit text, prompts, or data to the AI Services (“Input”) and receive any data, text or similar content that is generated and returned by the AI Services (“Output”). As between the Parties, Input and Output are and will remain owned by Customer. As between the Parties, Customer retains all right, title, and interest in its Input and Output. Datagrid retains all right, title, and interest in and to the AI Services.

1.2. Datagrid Obligations. Input and Output are Customer Data subject to Section 1.3 (“Security and Data Privacy”) and Section 7.2 (“Protection of Confidential Information”) under the Agreement. Datagrid will remain responsible for its third-party AI subprocessors’ compliance with the AI Terms.

1.3. Customer Obligations. Customer is responsible for: (a) using the AI Services in compliance with the Agreement and Datagrid Acceptable Use Policy; (b) validating Outputs; (c) maintaining human oversight and controls for Output; and (d) all decisions made, actions taken, or inactions (whether by Customer or an Agent) based on its use of Output, including determining whether Output is appropriate for that use. Customer acknowledges and agrees that AI Services do not replace human judgment, legal, security, or professional expertise. Neither Customer nor its Authorized Users may use the AI Services or Output in connection with any regulated activity except in compliance with applicable laws, rules, and regulations.

2. Agents

2.1. General. Authorized Users may direct agents to take certain actions on Customer’s behalf (“Agents”). Agent actions are not Output.

2.2. Agent Obligations. Customer is responsible for (a) its and its Authorized Users’ use of Agents, (b) Agent actions, inactions, and any Outputs, and (c) determining whether Agents are appropriate for that use and supervising such actions, including with respect to Third-Party Applications.

3. Disclaimer

Output and actions are generated by artificial intelligence, including by using technology provided by third-party subcontractors (“Third-Party AI”). Datagrid makes no warranty that the AI Services, Third-Party AI, or Output will: (a) be accurate, complete, reliable, current, suitable for Customer’s use, or compatible with Updates to the AI Services; (b) not violate third-party rights or law, (c) meet Customer’s requirements, or (d) comply with any industry laws, regulations, codes, rules, or standards applicable to Customer’s use. Output may not be unique or exclusive to Customer, or protectable under intellectual property laws. Datagrid’s ability to deliver the AI Services may be impacted by changes in applicable law or regulations, or the availability or functionality of Third-Party AI. Customer agrees that due to such changes, Datagrid may need to modify or discontinue delivery of the Third-Party AI or AI Services. Datagrid disclaims any liability for or in connection with, and Customer agrees not to hold Datagrid liable for, Customer’s use of the AI Services, Outputs, and their interactions with any Third-Party Applications.
